Sponsorship General Terms and Conditions
(Subject
to Negotiations)
This
document serves as an sample of the official and binding contract
for sponsors of IADAT Conferences and does not aply to sponsorship
of any other events hosted by IADAT.
This
Sponsorship Agreement is made this ______ day of
______ ,2007, by and between
IADAT, a non-profit
Association havintg its place at 73 Kareaga in
Barakaldo 48903, SPAIN. and _______ (Company) having its principal
place at _____________.
TERMS
AND CONDITIONS
The
commencement date of this Sponsorship Agreement shall be the day
after its conclusion and it shall be terminated at the end of the
Conference.
IADAT
will manage all aspects of planning and staffing throughout the
meeting to ensure a quality event.
A
sponsor may select more than one category of Conference Sponsorship,
( e.g. GOLD sponsorship, plus
Coffee Break)
Sponsor
agree to allow IADAT to use the sponsor's trademark, logo and tag
line in order to be able perform and render its Sponsor
promotional services.
Sponsor
shall be entitled to the following tag line on their marketing
materials during the term of their Conference Sponsorship
Agreement: "Official Sponsor of IADAT Conference.
Sponsor may publish
and mantain an internet hyperlink from Sponsor’s website to IADAT
Conference page untill the end of the Conference.
Payment
sponsorship fees shall be paid in full within thirty days prior to
the opening date of the Conference. All payments due shall be in
EUR (state currency). SPONSORSHIP FEES ARE NON-REFUNDABLE.
Performance
of this agreement is contingent upon IADAT ability to perform, and
IADAT shall not be responsible for any damage, loss or delay due
to equipment failure, power outage, internet failure, fire, act
terrorism, explosion, strikes, acts of God, goverment restrictions
or similar causes , beyond the control of IADAT.
Unless
otherwise agreed, Sponsors shall provide all sponsorship materials
to address of the Conference venue that shall be provided by IADAT
in advance.
All
sponsorship materials shall be submitted before _____ to ensure
their inclusion in the Conference.
IADAT
reserves the right to cancel the Conference fifteen days prior to
the Conference advertised opening date by serving notice in
writing to the Sponsor.
In
the event of cancellation, IADAT shall refund the sponsors' fees,
less an amount not exceeding 20% to cover the expenses incurred.
IADAT
reserves the right to reject a potencial sponsor for any reason.
Cancellation
of this agreement must be received in writing in order to be
accepted.
These
General Terms and Conditions shall be governed by and construed in
accordance with Spanish law and the Sponsor irrevocably agrees
that the courts of Spain shall have exclusive jurisdiction to
settle and dispute which arise out of, under, or in connection
with, these General Terms and Conditions.
This
Agreement shall constitute our Entire Agreement, supersede all
prior oral and written agreements, and may not be amended or
modified except in writing being acknowledge and accept by both
parties. In the conference that any of the provisions included
herein and held to be unenforceable, the remaining portions of
this Agreement will remain in full force and effect.
